Buy-Sell Agreements are agreements between some or all of the shareholders of a corporation.

They are generally utilized when there are a small number of shareholders who are involved in a corporation's day-to-day operations. Buy-Sell Agreements determine how shares are to be sold or transfered in the event a shareholder becomes disabled, dies or wants to sell or gift his shares.

These agreements are an important component of business succession planning, retirement and post-retirement planning, income and investment planning, asset and property ownership planning, and tax planning.
